Terms of Service

Effective: May 12, 2026

By downloading, accessing, or using Stacks ("the app"), you agree to these Terms of Service ("Terms"). Your use is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read them carefully.

1. Eligibility

You must be at least 13 years old to use Stacks. If you are between 13 and the age of majority in your jurisdiction, you represent that you have your parent or guardian's permission to use the app and that they have agreed to these Terms on your behalf.

You may not use Stacks if you are located in, or are a national or resident of, any country subject to U.S. government embargo, or if you are listed on any U.S. government list of prohibited or restricted parties.

2. Using Stacks

Stacks is a personal productivity app that lets you organise tools and share them with others. You may use Stacks for lawful purposes only. You agree not to:

• Use Stacks to store or share illegal, harmful, infringing, or abusive content.
• Attempt to reverse-engineer, decompile, scrape, or abuse the service.
• Create accounts or share invites for the purpose of spam, fraud, or harassment.
• Interfere with the security or integrity of the app or other users' accounts.
• Use the app to violate any applicable law or third party's rights.

3. Your Account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at support@stacks.mobi if you believe your account has been compromised.

4. Subscriptions and Billing

Stacks offers a free tier and a paid Pro plan. Depending on how you purchased, billing is handled by one of the following:

• Apple App Store / Google Play — subject to the applicable store's terms, including their cancellation and refund policies. Manage your subscription in your device's account settings.
• Direct purchase (Paddle) — processed by Paddle.com Market Limited ("Paddle"), our authorised reseller and Merchant of Record. Paddle handles payment processing, VAT/tax collection, and billing support. You can manage your subscription via the Paddle customer portal, accessible from Settings in the macOS app.

All subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.

5. Refund Policy

We want you to be happy with Stacks. If you are not satisfied with your purchase, refunds are available as follows:

• Direct purchases (Paddle) — you may request a full refund within 14 days of your first payment by emailing support@stacks.mobi. Refund requests made after 14 days are evaluated on a case-by-case basis. Refunds are not available for renewals once processed, except where required by law.
• Apple App Store — refunds are handled by Apple in accordance with their standard refund policy. Submit a request at reportaproblem.apple.com.
• Google Play — refunds are handled by Google in accordance with their standard refund policy.

Approved refunds are processed within 5–10 business days to your original payment method.

6. Free Tier Limits

Free accounts are limited to 5 mindspaces and 10 stacks. Upgrading to a paid plan removes these limits. We reserve the right to adjust free tier limits with reasonable notice.

7. Your Content

You retain ownership of all content you create in Stacks. By using the app, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as formatting, resizing, or backup), and display your content as necessary to operate, provide, and improve the service, including sharing it with users you authorize.

This license terminates when you delete your content or your account, except that:

• Residual copies may persist in backups for a limited period before being deleted in the ordinary course of our backup cycle.
• The license continues for any content you have shared with other users to the extent necessary to maintain those users' access to copies they have received.

We do not claim any intellectual property rights over your content and will not use it for any purpose beyond what is described in these Terms or our Privacy Policy.

8. Sharing and Collaboration

When you share a stack with others, the recipients can view or edit it per the role you assign. You are responsible for deciding who you share content with and for ensuring you have the right to share that content.

Recipients of shared stacks are also bound by these Terms with respect to their use of shared content and the service.

9. Copyright and DMCA

We respect intellectual property rights and expect our users to do the same. If you believe that content on Stacks infringes your copyright, please send a notice to dmca@stacks.mobi including:

• A description of the copyrighted work you claim has been infringed.
• A description of the material you claim is infringing and its location in the app.
• Your contact information (name, address, phone, email).
• A statement that you have a good faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your physical or electronic signature.

We will respond to valid notices in accordance with the Digital Millennium Copyright Act. We may terminate accounts of users who repeatedly infringe copyright.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable, except where a shorter notice period is necessary to address security, legal, or technical issues. We are not liable for any loss caused by downtime, modifications, or discontinuation.

11. Termination

You may delete your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your content will be deleted from our active systems within 30 days, with residual copies in backups deleted in the ordinary course of our backup cycle.

Sections that by their nature should survive termination (including Your Content licenses for already-shared content, Indemnification, Disclaimers, Limitation of Liability, and Dispute Resolution) will survive.

12. Disclaimers

Stacks is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be error-free, secure, or uninterrupted.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the app. Our total aggregate liability for any claim arising out of or relating to these Terms or the app will not exceed the greater of (a) the amount you have paid us in the twelve months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Stacks and its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the app, (b) content you create, share, or store via the app, (c) your violation of these Terms, or (d) your violation of any third party's rights, including intellectual property or privacy rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the app will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 14 days before they take effect, except where a shorter period is required by law or to address a security or legal issue. Continued use of the app after changes take effect constitutes acceptance.
